Rich is a shareholder with Wiener, Weiss & Madison. He joined the firm in 2013 and advises businesses, families and individuals in the areas of Taxation, Corporate Law, Securities Law, Mergers & Acquisitions, Real Estate Law, Estate Planning, Successions/Probate, Title Insurance and Nonprofit Law.
Representative Experience Representation of individuals and families in preparation and implementation of estate plans, including wills, trusts, partnerships and limited liability companies, intra-family sale transactions, tax planning, and the formation of private foundations.
Representation of closely held businesses, special purpose entities, and other investment vehicles, including preparation of organizational documents, tax planning, structuring and negotiating sales to private equity firms and other buyers, mergers and acquisitions, reorganizations, employment agreements, shareholder agreements, and other commercial contracts.
Representation of real estate investors in connection with the acquisition, divestiture or development of real estate.
Representation of various banks and borrowers in connection with secured lending, including recourse and nonresource loans, and loans for the construction, sale and purchase of hotels, apartment complexes and other developments.
Representation of business clients in capital raises through private placements of securities to fund the operations of biotech companies, hotels, restaurants, pharmaceutical companies and other ventures.
Representation of business clients concerning tax incentives, structure of executive compensation, and structure of carried interests and profits interests.
Representation of public and private charities in connection with governance, tax status, and planned giving.
Licensed by the Louisiana Department of Insurance as a title insurance producer, and authorized title insurance agent for Fidelity National Title Insurance Company, First American Title Insurance Company, and Chicago Title Insurance Company.
